These Terms and Conditions of Use ("Terms") govern your access to and use of the website, newsletter, podcast, communications, digital content, products, services, and other materials offered by Midstride LLC, doing business as Midstride ("Midstride," "Company," "we," "us," or "our"), located at 4400 N Scottsdale Rd, STE 9-702, Scottsdale, AZ 85251.

Our email is hello@midstride.us. "You" and "your" refer to users of our website, communications, products, services, and related materials (collectively, the "Offering").

By accessing or using the Offering, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Offering.

General Provisions

This website is owned and operated by Midstride LLC. We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of the Offering after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law.

The Offering is intended for a general audience and is not directed to children under 13. If you purchase a product or service from us, you represent that you are at least 18 years old or the age of majority in your jurisdiction, or that you have the authorization of a parent or legal guardian where permitted by law.

Intellectual Property

Unless otherwise indicated, the content and materials made available through Midstride, including text, articles, newsletters, podcast and video content, graphics, photographs, designs, logos, taglines, trademarks, service marks, downloadable materials, and the overall look and feel of the Offering, are owned by or licensed to Midstride and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Offering for your personal, noncommercial use.

You may share links to publicly available Midstride content and may quote brief excerpts for noncommercial purposes with clear attribution to Midstride and, where applicable, the original author or contributor. You may also share social-media assets that Midstride expressly makes available for sharing.

Unless we give prior written permission, you may not reproduce substantial portions of our content; republish, sell, license, distribute, or commercially exploit our content; remove copyright, trademark, or other proprietary notices; modify our content in a misleading manner; use our trademarks, logos, or other source identifiers as your own; or represent that Midstride endorses or is affiliated with you, your business, or your content.

User Materials and Communications

If you voluntarily submit comments, feedback, suggestions, photographs, videos, or other materials for public posting or for inclusion in a Midstride community or interactive feature, you represent that you have the rights necessary to submit those materials. You grant Midstride a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute those materials only as reasonably necessary to operate, promote, and provide the feature or Offering for which they were submitted, unless otherwise agreed in writing.

Communications submitted to Midstride are not confidential unless we expressly agree otherwise or confidentiality is required by law. However, sending us a private email, message, or other private communication does not, by itself, grant Midstride permission to publicly identify you or publish that communication as a testimonial or endorsement. If we wish to use an identifiable private communication for promotional purposes, we may request your permission.

Do not submit content that is unlawful, defamatory, infringing, fraudulent, abusive, threatening, obscene, or otherwise harmful, or that violates the rights of another person.

Reviews and Testimonials

If you choose to submit a review or testimonial, it must reflect your genuine experience and opinions and must not contain false, misleading, unlawful, discriminatory, infringing, or abusive content.

By voluntarily submitting a review or testimonial for public use, you grant Midstride a non-exclusive, worldwide, royalty-free license to reproduce, display, distribute, and reasonably format that content in connection with Midstride and its Offering, subject to applicable law. We may remove or decline to publish reviews at our discretion. Reviews and testimonials reflect the views of the individuals who submit them and do not necessarily reflect Midstride's views.

Medical and Professional Disclaimer

Midstride provides content for informational, educational, and entertainment purposes only. Although Midstride's founder and certain guests or contributors may be physicians, healthcare professionals, attorneys, financial professionals, psychologists, accountants, or other credentialed experts, their participation in Midstride content does not create a physician-patient, clinician-patient, therapist-patient, attorney-client, financial advisory, fiduciary, or other professional relationship with you.

Nothing published or communicated by Midstride is intended to diagnose, treat, cure, or prevent any disease or medical condition, or to substitute for individualized medical advice, diagnosis, or treatment. Guests and Contributors

Midstride may feature interviews, commentary, opinions, recommendations, or other content from guests, contributors, and third-party experts. The views expressed by guests and contributors are their own and do not necessarily reflect the views of Midstride.

The inclusion of a guest, expert, product, service, organization, study, or resource does not constitute an endorsement unless expressly stated otherwise. Midstride does not guarantee the accuracy, completeness, reliability, or applicability of statements made by guests, contributors, or other third parties.

Editorial Content and Information

We make reasonable efforts to provide thoughtful and accurate information, but information changes over time and may contain errors or omissions. We do not guarantee that all content is accurate, complete, current, or suitable for your particular circumstances. Your use of and reliance on the Offering is at your own risk.

Nothing in the Offering guarantees a particular health, financial, professional, relationship, business, or other outcome. Individual experiences and results vary.

The Offering may contain links to or references to third-party websites, platforms, products, services, research, books, resources, or organizations. These third parties are not controlled by Midstride, and we are not responsible for their content, availability, privacy practices, security, terms, products, or services.

A link or reference does not necessarily constitute an endorsement. Your interactions with third parties are governed by the terms and policies of those third parties.

Technology and Security

We use third-party platforms and service providers to operate portions of the Offering, which may include website hosting, email delivery, podcast and video distribution, analytics, payment processing, and other technology services.

We make reasonable efforts to use reliable services and maintain the Offering, but we cannot guarantee that the website, communications, or other Offering will always be uninterrupted, secure, error-free, or free from harmful components.

Where payment processing is offered, payment information may be processed by third-party payment processors rather than stored directly by Midstride. Your use of those services may also be subject to the processor's terms and privacy practices.

Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy. By using the Offering, you acknowledge that you have had an opportunity to review our Privacy Policy.

Prohibited Use

You may not use the Offering to violate any applicable law or regulation; infringe intellectual property, privacy, publicity, or other rights; transmit malicious code; attempt to gain unauthorized access to systems or accounts; interfere with the operation or security of the Offering; impersonate another person or entity; collect information about other users without authorization; or engage in fraudulent, abusive, threatening, harassing, or otherwise unlawful conduct.

We may suspend or terminate access to the Offering when we reasonably believe these Terms have been violated or when necessary to protect Midstride, our users, third parties, or the security and integrity of the Offering.

Purchases and Payment

If Midstride offers paid products or services, the price, payment terms, delivery terms, renewal terms, cancellation rights, refund policy, and any other material purchase terms presented at checkout or in a separate written agreement will apply to that transaction and are incorporated into these Terms by reference.

You agree to provide current and accurate information necessary to process a purchase and authorize the applicable payment processor to charge the payment method you select for the amount disclosed at checkout.

We may change prices for future purchases at any time. Applicable taxes, shipping, or handling charges, if any, will be disclosed as required.

Subscriptions and Automatic Renewal

If you purchase a paid subscription or other automatically renewing Offering, the applicable renewal frequency, price, cancellation method, and other material terms will be disclosed before purchase. By completing the purchase, you authorize recurring charges as disclosed until you cancel in accordance with the cancellation instructions provided for that Offering.

Refunds, Cancellations, and Order Issues

Refund, return, cancellation, and exchange terms, if applicable, will be stated at checkout, on the relevant product or service page, or in a separate written agreement. If no separate policy is stated, contact hello@midstride.us regarding a purchase issue.

We reserve the right to correct genuine pricing or description errors and, where appropriate, cancel or refund an affected order. We may also refuse or cancel an order where reasonably necessary to address suspected fraud, misuse, legal restrictions, or product availability.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE OFFERING IS PROVIDED "AS IS" AND "AS AVAILABLE." MIDSTRIDE DISCLAIMS WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE OFFERING WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ALL INFORMATION WILL BE ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the foregoing exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MIDSTRIDE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE OFFERING.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Midstride LLC and its members, officers, employees, contractors, agents, affiliates, successors, and assigns from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of your unlawful use of the Offering, your material violation of these Terms, or your infringement of another person's rights.

Termination

You may stop using the Offering at any time. We may suspend or terminate your access to all or part of the Offering if you materially violate these Terms, misuse the Offering, create legal or security risk, or if we discontinue the applicable Offering.

Termination does not affect rights or obligations that by their nature should survive termination, including intellectual property rights, disclaimers, limitations of liability, and dispute provisions.

Dispute Resolution

Before filing a civil action relating to these Terms or the Offering, you and Midstride agree to make a reasonable good-faith effort to resolve the dispute informally. Either party may request non-binding mediation or another mutually agreed form of alternative dispute resolution.

Nothing in this section prevents either party from seeking emergency or injunctive relief where appropriate or from exercising rights that cannot lawfully be waived.

Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Offering will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

To the extent a dispute is properly brought in court and applicable law permits the parties to agree to venue, the parties consent to the state and federal courts located in Maricopa County, Arizona.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly presented for a particular product, service, promotion, or transaction, constitute the agreement between you and Midstride regarding your use of the Offering.

If additional written terms conflict with these Terms, the additional terms will control with respect to the specific product, service, promotion, or transaction to which they apply.

Severability

If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
